Terms and Conditions
Last updated: 2026-10-07
The German version of these terms is the legally binding one.
1 Scope
These terms apply to all services of Rudolf Zwieselbauer, BA (Hons.) MAS, rudi.design (the "Contractor") towards businesses and consumers (the "Client"). Services include in particular UX consulting, UX design, design systems, workshops, trainings and teaching, and one-to-one mentoring (such as the individual UX course).
Terms of the Client apply only if the Contractor agrees to them in writing. Individual agreements, for example in the offer, take precedence over these terms.
2 Offers and conclusion of contract
Offers are valid for 30 days unless stated otherwise. The contract is concluded by written acceptance of the offer or by signature with ID Austria. If the Contractor starts work at the Client's request, the contract is deemed concluded at that start.
3 Services and Client cooperation
Type and scope of the services follow from the offer. The Contractor performs them to the best of his professional knowledge but, unless expressly agreed, does not owe a specific business result.
The Client provides all required information, documents, access and contact persons in good time and takes decisions promptly. Delays caused by missing cooperation postpone agreed dates accordingly; additional effort is charged separately.
4 Changes and additional requests
Requests beyond the agreed scope must be commissioned as a change. On request, the Contractor states the additional effort and the effect on dates; the change applies only once the Client confirms it.
5 Dates and deadlines
Agreed dates are binding only if expressly marked as binding. Deadlines are extended appropriately in case of delays the Contractor is not responsible for (for example force majeure, illness, missing cooperation).
6 Fees and payment
Fees follow from the offer. Unless stated otherwise, all amounts are plus statutory value added tax.
Invoices are payable within 14 days of the invoice date without deduction. In case of late payment, statutory default interest applies; for businesses, statutory compensation for reminder and collection costs applies in addition.
7 Travel costs
Unless the offer says otherwise, travel outside Vienna is charged at actual cost against receipts. The Contractor agrees larger travel costs with the Client in advance.
8 Cancellation and rescheduling
Workshops, trainings and agreed individual sessions can be cancelled free of charge up to 14 days before the date. For cancellation up to 7 days before the date, 50 percent of the agreed fee for that date is due, afterwards 100 percent.
One-to-one mentoring sessions can be rescheduled free of charge up to 24 hours before they start. After that, the session counts as delivered.
Instead of cancelling, the Client may name a substitute participant. If the Contractor cancels a date, it is made up or not charged.
9 Rights of use
Upon full payment, the Client receives the rights of use to the agreed deliverables to the agreed extent; without a separate agreement, a non-exclusive right, unlimited in time and territory, for the Client's own purposes. Until then, all rights remain with the Contractor.
Training materials, methods and templates of the Contractor remain his intellectual property; passing them on to third parties requires consent.
The Contractor may name the Client as a reference unless agreed otherwise.
10 Confidentiality
Both parties keep confidential information of the other party, marked as such or recognisably confidential, strictly confidential and use it only for the purpose of the contract. This duty continues after the contract ends. It does not apply to information that is public or must be disclosed by law.
11 Use of AI tools
The Contractor may use AI tools in his work and observes the confidentiality under section 10. Client data is not used to train AI models. Responsibility for the deliverables remains with the Contractor.
12 Warranty and liability
The Contractor remedies defects in his services within a reasonable period if they are reported without delay.
Towards businesses, the Contractor is liable only for intent and gross negligence. Liability for slight negligence, lost profit, indirect and consequential damage is excluded. Where legally permitted, liability is capped at the order value.
Towards consumers, the mandatory provisions of the Austrian Consumer Protection Act (KSchG) and other consumer protection law remain unaffected.
13 Right of withdrawal for consumers
For contracts concluded exclusively by means of distance communication, consumers have the right under the Austrian Distance and Off-Premises Contracts Act (FAGG) to withdraw from the contract within 14 days without giving reasons. The period starts when the contract is concluded. Withdrawal can be declared informally, for example by e-mail to rudi@zwieselbauer.com.
If the consumer expressly requests that the service starts before the withdrawal period ends, the consumer must pay a proportionate amount for the services delivered up to withdrawal. If the service has been fully performed with the consumer's express consent, the right of withdrawal lapses.
14 Governing law and jurisdiction
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-law rules. For consumers, this choice of law applies only insofar as it does not deprive them of mandatory consumer protection of the state of their habitual residence.
For disputes with businesses, the competent court in Vienna has jurisdiction. For consumers, the statutory places of jurisdiction apply.
15 Final provisions
Amendments and additions to the contract require written form (e-mail is sufficient). If a provision is invalid, the remaining provisions stay valid; the invalid provision is replaced by the legally permissible one closest to its economic purpose.
